Terms of Service

1. Eligibility

To use the Services, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction).
• Have the legal capacity to enter into these Terms.
• Not be prohibited by law from using a dating service.

You represent that the information you provide is accurate and truthful.

2. Your Account

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Promptly notifying us of any unauthorized access to or use of your account.

We may suspend or terminate your account for violating these Terms or for any other reason at our discretion.

3. User Conduct

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose.
• Harass, threaten, stalk, or otherwise harm other users.
• Impersonate any person or entity, or create multiple fake accounts.
• Post sexually explicit content involving minors, hate speech, or any illegal material.
• Scrape, reverse-engineer, copy, or misuse our platform or its underlying code.
• Upload or distribute viruses, malware, or other harmful code.

We reserve the right to moderate user behavior, profiles, and content, and to take appropriate action at our discretion.

4. User Content

You retain ownership of any content that you submit, upload, or display through the Services (“User Content”). By using the Services, you grant us a worldwide, nonexclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, publish, and distribute your User Content solely for the purpose of operating, improving, and promoting the Services.

You represent and warrant that:

• You own or have the necessary rights to use and grant the rights to the User Content.
• Your User Content does not violate any applicable law or the rights of any third party.

We may remove or restrict access to any User Content that violates these Terms or that we consider objectionable.

5. Safety and Interactions With Others

We do not conduct criminal background checks, identity verification, or systematic screening of users, although we may choose to do so at our discretion from time to time.

You are solely responsible for your interactions with other users, both online and in person. We do not guarantee the behavior, intentions, or identity of any user.

Please use caution, follow common-sense safety practices, and report any suspicious, abusive, or illegal behavior through the in-app reporting tools or by contacting our support team.

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, designs, logos, and trademarks (excluding User Content), are owned by or licensed to us.

You may not copy, modify, distribute, sell, lease, or create derivative works based on any part of the Services, nor may you use our trademarks or branding without our prior written consent.

7. Third-Party Services

The Services may include links to third-party websites, apps, or services. We do not control and are not responsible for:

• The content or policies of third-party services.
• The availability, accuracy, or reliability of third-party services.

Your use of any third-party service is at your own risk and may be subject to separate terms and privacy policies.

8. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
• YOU WILL FIND MATCHES OR ACHIEVE ANY PARTICULAR RESULT THROUGH THE SERVICES;
• USER CONTENT OR USER CONDUCT WILL BE SAFE, LEGAL, OR MEET YOUR EXPECTATIONS.

YOU USE THE SERVICES AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $50, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Make a New Friend and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use or misuse of the Services;
• Your User Content;
• Your violation of these Terms; or
• Your interactions with other users.

11. Termination

We may suspend or terminate your account, your User Content, or your access to the Services at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms.

You may delete your account at any time through the in-app settings or by contacting us directly. Upon termination, certain provisions of these Terms will continue to apply, including those relating to intellectual property, disclaimers, limitations of liability, and indemnification.

12. Governing Law and Dispute Resolution

These Terms and your use of the Services are governed by the laws of New York state, without regard to its conflict-of-law principles.

Before initiating any formal dispute, you agree to first contact us and attempt to resolve the issue informally. If we cannot resolve the dispute informally, it shall be resolved through binding arbitration under the rules of American Arbitration Association (AAA) Consumer Arbitration Rules, except where prohibited by law.

To the fullest extent permitted by law, you agree that all claims will be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page and, where appropriate, provide additional notice (such as in-app notifications).

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms.
